Terms of Service

These Terms govern your access to and use of our products and services, including our website, mobile experience, and communications such as emails and text messages (together, the “Service”). By accessing or using the Service, you enter into a legally binding agreement with Florida Local Directory Service Inc. (“we,” “us,” “Local Florida”). If you're unwilling or unable to be bound by these Terms, you may not access or use the Service.

• “You” / “User” — anyone who accesses or uses the Service, whether or not through an account.
• “Content” — text, images, photos, and other data or communication. “Your Content” is Content you submit — reviews, ratings, photos, votes, messages, and anything you add to your profile or a business listing. “User Content” is Content submitted by any User. “Service Content” means all Content made available through the Service, including Your Content, User Content, and Content we create ourselves.
• “Consumer Account” is the account you use to search, review, and save businesses. “Business Account” is the account a business representative uses to claim and manage a listing. “Account” refers to either.

We may modify these Terms from time to time. Your access to or use of the Service is governed by the version of the Terms in effect at that time. If we make material changes, we'll notify you by email, by posting a notice on the Service, or both, before the change takes effect, and update the “Last updated” date above. Continuing to access or use the Service after a change becomes effective means you accept the revised Terms.

Eligibility

To use the Service you must have the authority to enter into these Terms. The Service is not directed to children, and use by anyone under 13 is not allowed; in any case you must meet the minimum age of consent in your jurisdiction. We may deny access to anyone we've previously banned or whose Account we've closed.

Accounts

Some features require an Account. You're responsible for keeping your password confidential and for all activity under your Account — notify us immediately of any unauthorized use. A Consumer Account is for your personal, non-commercial use only; you may not create one for anyone but yourself, impersonate someone else, use an email address that isn't your own, or maintain more than one Account. We may close your Account at any time, for any or no reason.

Service Availability

We may modify, update, interrupt, suspend, or discontinue the Service, or any part of it, at any time, without notice or liability.

Communications

By using the Service, you consent to receive communications from us and from other Users through the Service, email, push notifications, or SMS — including messages from businesses you contact. Standard message and data rates may apply. You can manage most communication preferences through your account settings, though you can't opt out of administrative or transactional messages related to your Account.

Responsibility for Your Content

You alone are responsible for Your Content, and once posted, it may not always be possible to withdraw. You represent that you own it, or have the necessary rights to post it. You may not post Content that is false or misleading; infringes anyone's intellectual property, privacy, or other rights; is unlawful, hateful, or exploits minors; or otherwise violates these Terms.

Our License to Use Your Content

You grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, copy, reproduce, distribute, publicly display, and create derivative works from Your Content, in connection with operating, promoting, and improving the Service. This includes showing Your Content to other Users and, where relevant, using aggregated review data to improve search relevance. You waive any moral-rights claims against us with respect to Your Content to the extent permitted by law.

Ownership

As between you and us, you own Your Content. We own the Service Content we create ourselves — including the site's design, features, aggregate ratings, and underlying software — along with our trademarks and trade names. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from our Service Content.

Content Moderation & Verification

We may screen, edit, remove, or reinstate User Content at our discretion, without notice — for example, if we believe a review violates our content guidelines. We may verify a business's claim to a listing and, where verified, display a “Verified” badge on its page; the absence of that badge doesn't necessarily mean a business is unverified. We may use automated tools, including machine learning, to help detect fake reviews, spam, and abuse, which may affect how Content is displayed.

The Service lets you request quotes, send messages, or otherwise contact local businesses. Those interactions are between you and the business — we don't guarantee a business will respond, honor a quote, or fulfill any request. If a business subscribes to a paid plan, billing is processed by our payment processor, Stripe; by subscribing, the business authorizes recurring charges according to the plan they selected until the subscription is canceled.

You agree not to use the Service to:

• Post fake, incentivized, or defamatory reviews, or offer or accept compensation to post, alter, or remove one.
• Impersonate any person or entity, or misrepresent your affiliation with a business.
• Infringe anyone's intellectual property, privacy, or other legal rights.
• Threaten, harass, or promote discrimination against others.
• Use the Service for unauthorized commercial purposes, bulk messaging, or spam.
• Attempt to manipulate search rankings, ratings, or review recommendation systems.
• Scrape, crawl, or use automated tools to access or copy the Service or its Content, except as permitted by our robots.txt.
• Reverse engineer any part of the Service.
• Attempt to gain unauthorized access to any Account, system, or network connected to the Service.
• Transmit viruses, malware, or anything designed to disrupt the Service.
• Violate any applicable law, or these Terms.

If you send us ideas or suggestions (“Feedback”), you agree we're free to use them without any obligation to you — including no obligation of confidentiality, attribution, or compensation. You grant us an irrevocable, royalty-free, worldwide license to use and build on your Feedback for any purpose.

The Service may display Third-Party Content or link to third-party websites (for example, a business's own website, or Google Maps). We don't control and aren't responsible for the accuracy, availability, or content of any third-party site or service. Your use of a third-party site is at your own risk and subject to that party's own terms.

The Service and Service Content are provided “as is” and “as available,” without warranties of any kind. We don't vet every review or listing, and we make no promises about the accuracy, completeness, or reliability of Service Content, including business listings and reviews. We're not responsible for the actions, products, or services of any business or User on the Service, or for any dispute between you and a business you contact through it.

To the maximum extent permitted by law, our total liability to you for any claim arising from the Service or these Terms is limited to the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) $100. We won't be liable for indirect, incidental, special, consequential, or punitive damages, lost profits, or loss of data, even if we've been advised of the possibility of such damages.

You agree to defend, indemnify, and hold harmless Local Florida, its officers, employees, and affiliates from any third-party claim arising from: your access to or use of the Service, including Your Content; your violation of these Terms; or your violation of any right of another person or entity.

Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of- law principles, and any dispute not subject to arbitration below will be resolved exclusively in the state or federal courts located in Florida; you consent to personal jurisdiction there.

Arbitration Agreement

You and Local Florida agree to resolve any dispute arising out of or relating to these Terms or your use of the Service — other than as described below — through binding, individual arbitration rather than in court, administered by a mutually agreed arbitration provider under its rules then in effect. This agreement is governed by the Federal Arbitration Act.

Exceptions

Either party may instead:

• Bring an individual claim in small claims court, within that court's jurisdiction.
• Bring an action in court to protect intellectual property rights, such as copyrights or trademarks.

You may opt out of this arbitration agreement by notifying us in writing at ducct.quangbinh@gmail.com within 30 days of first agreeing to these Terms.

You may terminate these Terms at any time by closing your Account and discontinuing use of the Service. We may close your Account, suspend access, or ban you from the Service at any time, for any or no reason, without notice or liability, unless prohibited by law. Sections of these Terms that by their nature should survive termination — including Content licenses, disclaimers, limitation of liability, indemnification, and dispute resolution — will continue to apply.

• These Terms are the entire agreement between you and us regarding the Service, and supersede any prior agreement on the same subject.
• Our failure to enforce any provision of these Terms isn't a waiver of that provision.
• If any provision is found unenforceable, only that provision is modified or removed to the minimum extent necessary — the rest of the Terms remain in effect.
• You may not assign or transfer these Terms without our written consent; we may assign them without restriction.
• Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and us.
• Section headings are for convenience only and have no legal effect.

These Additional Terms apply if you have a Business Account, in addition to the Terms of Service above. If there's a conflict between the two, these Business Terms govern for matters relating to your Business Account.

Authority & Accuracy

By creating or using a Business Account, you represent that you're authorized to act on behalf of, and bind, the business associated with it (your “Business”). You'll keep your Business's listing information accurate, and won't use the Consumer Site for business purposes, such as messaging reviewers about their reviews. If your Business Account has multiple team members, you're responsible for their compliance with these Terms.

Reviews & Non-Disparagement

Under the federal Consumer Review Fairness Act, businesses may not use contracts that penalize customers for posting honest reviews. Your Business agrees not to include, or attempt to enforce, any clause that restricts, penalizes, or discourages a customer from posting a review about your Business, and agrees not to offer or accept compensation in exchange for posting, editing, or removing a review.

License to Business Content

You grant us a non-exclusive, royalty-free license to display information and content about your Business on the Service — including content we import from your Business's public website to keep your listing accurate and complete.

Billing & Subscriptions

Paid plans renew automatically at the price and interval shown at checkout until canceled. Billing is processed by Stripe; by subscribing, you authorize us to charge your payment method on file for recurring fees. You can cancel a subscription at any time from your Business Account settings, effective at the end of the current billing period; fees already paid are non-refundable except where required by law.
